Alphagen Academy & Cortexa Learning System
Effective Date: 1st September 2025
- Introduction
Welcome to Alphagen Academy and our dedicated learning system, Cortexa (collectively referred to as the “Platform”). The Platform is a hybrid educational hub providing courses, gamified learning content, and resources. This Platform is operated by Alphagen Academy Sdn Bhd, a company registered in Malaysia with its business address at E-1-2, CBD3, Jalan Perdana, 63000 Cyberjaya, Selangor (“we,” “us,” or “our”).
These Terms of Service (“Terms”) constitute a legally binding agreement between you, as the user, and us. By accessing or using our Website or the Cortexa system, you acknowledge that you have read, understood, and agree to be bound by these Terms, along with our Privacy Policy. If you do not agree to these Terms, you may not access or use the Platform.
- Eligibility and User Accounts
2.1 Students (Cadets): Individuals accessing the Platform for educational purposes. This Platform is intended for use by individuals of all ages. However, if you are a minor (under 18 years old), you must use this Platform under parental supervision and with the consent of a parent or legal guardian. By using Cortexa or our Website, you and your parent/guardian warrant that you are at least 18 years old or that your parent/guardian has consented to your use of this Platform.
2.2 Learning Facilitators: Authorized personnel (Officers, Captains, Specialists, Quartermasters) using the Platform to deliver services. Learning Facilitators are bound by these Terms in addition to their respective Employment or Service Agreements.
Account Registration: To access Cortexa learning modules and other features, you may be required to register for an account. You agree to provide accurate, complete, and current information during registration and to keep it updated.
Account Responsibility: You are responsible for maintaining the confidentiality of your Cortexa login credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account or any other breach of security. We will not be liable for any loss arising from your failure to comply with this section.
- Use of the Platform (Website & Cortexa)
Permitted Use: You are granted a limited, non-exclusive, non-transferable license to access and use the Platform and its content for personal, non-commercial, and educational purposes only.
Prohibited Activities: You agree not to:
- Use the Platform for any illegal, unlawful, or fraudulent purpose.
- Post or transmit any content that is abusive, harassing, defamatory, obscene, or otherwise objectionable.
- Infringe on our intellectual property rights (including Cortexa course materials) or the rights of others.
- Use any automated systems to “scrape” or extract data from the Platform.
- Disrupt the Platform’s functionality, including the Cortexa learning environment, or interfere with other users’ access.
- Impersonate any person or entity.
- Special Terms for Learning Facilitators
If you access or use a Learning Facilitator account (including roles as Officers, Captains, Specialists, or Quartermasters) on the Cortexa system, the following additional terms apply to you:
- Confidentiality of Student Data: You acknowledge that you may have access to personal data and academic performance records of Students (Cadets) (“Student Data”). You agree to keep all Student Data strictly confidential and use it solely for legitimate educational purposes. You must not share, publish, or disclose Student Data to any third party (including on social media) without written authorization from Alphagen Academy and the Student’s (Cadet’s) parent/guardian.
- Professional Conduct: You agree to maintain a high standard of professional conduct when interacting with Students (Cadets) on the Platform. Harassment, bullying, or inappropriate communication with minors is strictly prohibited and will result in immediate account termination, termination of service/employment agreements, and reporting to relevant authorities.
- Content Ownership: Any teaching materials, quizzes, or notes you upload to Cortexa are subject to the User-Generated Content license in Section 6. You warrant that your teaching materials do not infringe on the copyright of any third party.
- Account Usage: Learning Facilitator accounts are for the sole use of the registered personnel. Sharing your login credentials with other staff, external parties, or Students (Cadets) is strictly prohibited.
- Social Media and Brand Guidelines
We encourage users to discuss Alphagen Academy and the Cortexa system on social media. However, to protect our brand and community, you agree to the following:
- No Impersonation: You may not use “Alphagen,” “Cortexa,” or our logos in your social media usernames, handles, or domain names.
- Clarification of Relationship: If you post content about our Platform, you must represent yourself accurately as a Student (Cadet), parent, or authorized Learning Facilitator. You must not claim to be an employee, agent, or representative of Alphagen Academy unless explicitly authorized in writing or outlined in your Employment or Service Agreement.
- Disclaimer: If you share opinions about our educational content, you should make it clear that the views expressed are your own and do not reflect the official views of Alphagen Academy.
- Grievances: If you have a complaint regarding our services, we request that you contact our support team at admin@alphagen-academy.my for a resolution prior to posting grievances on social media.
- Intellectual Property Rights
Our Content: All content on the Platform—including the Cortexa interface, text, graphics, logos, images, audio clips, video, data compilations, and software—is our exclusive property or the property of our licensors and is protected by Malaysian and international copyright laws. You may not reproduce, distribute, modify, or create derivative works of our content without our explicit written permission.
User-Generated Content: If you submit any content to the Platform (e.g., forum posts, assignments, teaching materials, or Cortexa progress logs), you grant us a non-exclusive, royalty-free, perpetual, and worldwide license to use, reproduce, and adapt such content for operating and promoting the Platform. You warrant that you own the necessary rights to grant us this license.
- Payments, Subscriptions, and Refunds
Payment Terms: If you purchase a subscription to Cortexa or other services, you agree to pay all applicable fees and taxes. Payments are processed through a third-party gateway, and you agree to their terms and conditions.
Subscription: Subscriptions are billed on a recurring basis as outlined at the time of purchase. You can cancel your subscription at any time, but you will not receive a refund for the current billing period.
Refund Policy: Refund terms and conditions are applicable according to individual subscription packages.
- Termination
We reserve the right to suspend or terminate your access to the Platform (including your Cortexa account), at our sole discretion, without notice or liability, for any reason, including but not limited to your breach of these Terms. Upon termination, your right to use the Platform will immediately cease.
- Disclaimers and Limitation of Liability
“As Is” Basis: The Platform and all its content are provided on an “as is” and “as available” basis without any warranties of any kind, whether express or implied. We do not guarantee that the Platform will be uninterrupted, error-free, secure, or free of viruses.
No Guarantee of Academic Results: We expressly disclaim any guarantee or warranty of promised achievements, improvements in grades, or academic excellence. Any mention of success stories or achievements on our Platform should be treated as an opinion or example only. We shall not be held liable for any poor academic results, examination failures, or lack of progress arising from your reliance on our content or the Cortexa system.
Third-Party Links: Our Platform may contain links to third-party websites or social media. These links are provided for convenience only. We do not endorse or assume responsibility for the content, privacy policies, or practices of any third-party sites. You access them at your own risk.
Limitation of Liability: To the maximum extent permitted by Malaysian law, we shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of your use or inability to use the Platform, even if we have been advised of the possibility of such damages.
- Indemnification
You agree to indemnify, defend, and hold harmless Alphagen Academy Sdn Bhd, its directors, employees, and agents from any claims, liabilities, damages, and expenses (including legal fees) arising from your use of the Platform, your violation of these Terms, or your infringement of any third-party rights.
- Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of Malaysia. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Malaysia.
- General
Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement regarding your use of the Platform.
Severability: If any provision is found to be invalid, the remaining provisions shall remain in full force.
Updates: We may modify these Terms at any time. We will post updated Terms on the Website. Continued use constitutes acceptance.
